Service Agreement & Terms of Use

1. Introduction

This Service Agreement & Terms of Use ("Agreement") governs the use of services provided by BronzeTech LLC ("Consultant") and is a binding contract between the Consultant and the Client. By accessing, using, or engaging with our services, you agree to be bound by these terms.

2. Scope of Services

The Consultant will provide inventory management consulting services as detailed in the chosen package (The Starter Kit, The Operational Flow, or The Continuous Optimization) or a custom project quote. Services may include, but are not limited to:

Initial inventory health checks and system analysis.
Strategic planning and creation of action plans.
Software implementation and integration support.
Customized staff training and support documentation.
Ongoing operational reviews and performance analysis.

3. Fees and Payment

All services are subject to an initial free 1-hour consultation. After the consultation, all additional time is billed at a rate of $70 per hour, unless otherwise specified. The Client agrees to pay all invoices in full within 30 days of receipt. The Consultant reserves the right to suspend services for late payments.

4. Refund Policy

BronzeTech LLC operates on a strict no-refund policy for all services rendered. Once a service has been initiated or any work has been performed, the associated fees are non-refundable. The initial 1-hour consultation is provided free of charge and has no monetary value; therefore, it is not eligible for a refund. Any pre-paid, unused hours for ongoing support packages may be refunded at the discretion of the Consultant upon written request, less any administrative fees incurred.

5. Client Responsibilities

The Client agrees to provide timely access to all necessary information, systems, and personnel required for the Consultant to perform the services. The Client is responsible for the accuracy of all data provided and for making key business decisions.

6. Confidentiality

Both parties agree to keep all information related to the business and services confidential. This includes, but is not limited to, trade secrets, business plans, financial data, and technical information. This obligation shall remain in effect for a period of five (5) years following the termination of this Agreement.

7. Limitation of Liability

The Consultant provides services on an "as-is" basis and shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of its services. The Consultant’s total liability to the Client shall not exceed the total fees paid by the Client to the Consultant under this Agreement.

8. Termination

This Agreement may be terminated by either party with 30 days written notice. In the event of termination, the Client agrees to pay for all services rendered up to the termination date.

9. Dispute Resolution: Binding Arbitration

Any and all disputes, claims, or controversies arising out of or relating to this Agreement, including any breach, termination, enforcement, interpretation, or validity thereof, shall be determined by **binding arbitration** in Scottsdale, Arizona, exclusively. The arbitration shall be administered by a mutually agreed-upon arbitrator and conducted in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. By agreeing to this, both parties waive their right to a trial by jury or to participate in a class action lawsuit.
